These Terms and Conditions apply to the use of this website and to all offers, services and work provided by MAISONSIETE GMBH, Chapfstrasse 20, 8906 Bonstetten, Switzerland, UID: CHE-318.026.621, hereinafter referred to as the “Agency”, “we”, “us” or “our”.
1. Scope
These Terms and Conditions apply to all visitors of our website as well as to all clients who purchase or use our services. Any deviating or supplementary agreements shall only be valid if confirmed in writing.
Our services are aimed at companies, organisations and private individuals seeking creative, strategic, digital or design-related services.
2. Services
We operate as a marketing and creative agency and provide services in particular in the areas of concept development, branding, graphic design, web design, content creation, campaigns, consulting, digital communication, brand identity and related services.
The exact scope of services, deadlines, prices and further conditions are defined in the relevant offer, order confirmation, contract or other written agreement.
3. Offers and Conclusion of Contract
Unless otherwise stated, our offers are valid for 30 days. A contract is concluded as soon as the client accepts our offer in writing, by email or in another expressly agreed form.
Changes, extensions or additional services that are not included in the original offer may be quoted and invoiced separately.
4. Client’s Duties to Cooperate
The client shall provide us in a timely manner with all information, content, access rights, approvals and materials required for the performance of our services.
Delays caused by late, incomplete or incorrect cooperation by the client may lead to postponed deadlines and additional costs. The client is responsible for ensuring that any content, images, fonts, trademarks, logos or other materials provided may be lawfully used.
5. Prices and Payment Terms
The prices stated in the offer, order confirmation or contract shall apply. Unless otherwise stated, all prices are in Swiss francs and exclude VAT, where VAT is applicable.
Invoices issued by MAISONSIETE GMBH are payable within 15 days from the invoice date without deduction, unless otherwise agreed in the order confirmation, contract or separate written agreement.
In the event of late payment, we reserve the right to charge default interest, reminder fees and any further costs incurred as a result of the delay. We may also suspend ongoing work until payment has been received.
6. Deadlines and Delivery
Agreed deadlines and delivery dates shall only be binding if expressly confirmed in writing. Deadlines may be postponed if required information, content, access rights or approvals from the client are not provided on time.
Unless otherwise agreed, we deliver work results in a suitable digital format.
7. Revisions and Approval
Unless otherwise agreed, two rounds of revisions are included in the agreed scope of services. Further adjustments, additional revision rounds or subsequent change requests may be charged separately.
The client shall review delivered work results within a reasonable period of time. If no material defects are reported in writing within 10 working days after delivery, the services shall be deemed approved.
8. Usage Rights and Intellectual Property
All concepts, drafts, designs, texts, strategies, presentations, files and other work results remain the property of MAISONSIETE GMBH until full payment has been received.
After full payment, the client receives the agreed usage rights to the final work results. The scope, duration, territory and type of use are determined by the relevant offer, order confirmation, contract or separate written agreement.
Non-selected drafts, internal working files, raw data, methods, templates, concepts and interim versions remain the property of MAISONSIETE GMBH, unless otherwise agreed in writing.
Any transfer, editing, reproduction or commercial use outside the agreed purpose requires our prior written consent.
9. Use as Reference
We may use completed projects, as well as the client’s name and logo, for reference purposes on our website, in presentations, on social media, in portfolios and similar channels, unless the client expressly objects in writing.
Confidential or unpublished content will not be published without prior consent.
10. Third-Party Services
Certain services may require the involvement of third-party providers, such as hosting providers, printing companies, photographers, developers, software providers, stock platforms, font providers or advertising platforms.
We are not responsible for the services, availability, prices, licence terms or changes of such third-party providers, unless these are expressly part of our own services. Third-party costs will only be passed on if this has been agreed or is necessary for the fulfilment of the order.
11. Website Use
The content of this website is provided for general information about our agency and our services. We strive to ensure that the information is accurate and up to date, but we do not guarantee its completeness, accuracy or currentness.
Use of this website is at the user’s own risk. It is prohibited to misuse the website, circumvent security mechanisms, introduce malware or infringe the rights of third parties.
12. Liability
We are only liable for direct damages caused by intentional or grossly negligent conduct on our part. To the extent permitted by law, any further liability is excluded, in particular for indirect damages, consequential damages, loss of profit, loss of data, reputational damage or failures of third-party services.
The client is responsible for the legal review of content, trademarks, claims, campaigns, imprint information, privacy texts and other publications, unless an explicit legal review by qualified professionals has been agreed.
13. Confidentiality
Both parties undertake to treat confidential information received in connection with the cooperation as confidential and not to disclose it to third parties without the consent of the other party, unless there is a legal obligation to disclose such information.
14. Data Protection
We process personal data in accordance with our separate Privacy Policy. The Privacy Policy explains which data we collect, for what purposes we process it, to whom it may be disclosed and what rights affected persons have.
15. Termination and Project Cancellation
If a project is cancelled, paused or significantly postponed by the client, we may invoice services already performed, reserved capacities and any third-party costs incurred.
If a project remains inactive for more than 30 days for reasons not attributable to us, we reserve the right to close the project and invoice the services provided up to that point.
16. Changes to these Terms and Conditions
We reserve the right to amend these Terms and Conditions at any time. The version published at the time of conclusion of the contract or use of the website shall apply, unless mandatory law provides otherwise.
17. Applicable Law and Place of Jurisdiction
Swiss law shall apply. The place of jurisdiction shall be, to the extent permitted by law, Zurich, Switzerland.
Mandatory statutory places of jurisdiction and consumer rights remain reserved.
